Principles and Rules of the Financial Conduct Authority

Insider Dealing / Personal Account Dealing

I agree not to act on any inside information that may come to my attention, nor pass on such information except as a report to the Compliance Officer. I also confirm that all personal account dealings will be conducted in accordance with the agreed procedures and reported to the Compliance Officer at the required times.

Market Abuse Declaration (Personal Account Dealing)

Definition

Where any individual within the firm transacts, on his or her own account, in a designated investment.

Discretionary transactions where the employee has had no prior awareness and where the firm has not exercised the discretion

Application

In essence, the rules on personal account transactions are to protect the interests of the consumer. For example, fact-finding discussions with a customer may reveal sensitive information about his/her employer; information, which could have a positive or detrimental affect on the employer’s share price. Any individual within the firm could use this to his or her advantage and may not, therefore, be acting in the interests of the customer. Furthermore, the customer could be in breach of ‘Insider Dealing’ rules as a result. Such conflicts are rare, however it is important that they are identified and that the firm always puts the client’s interests first.

Approval

All personal account transactions must be approved, in advance, by your Compliance Officer. Under no circumstances may a personal account transaction be initiated without prior approval. Approval must be granted in writing.

Back-door Personal Account Transactions

It is not permissible for any individual within the firm to procure any other person to enter into a personal account transaction with a view to circumventing. Furthermore, it is not permissible for any individual within the firm to communicate any information or opinion to any other person if he knows, or ought to know, that the other person will, as a result, enter into such a transaction, or procure any other person to do so.

Record-keeping

Personal account transactions must be notified to your Compliance Officer using a ‘request for personal account transaction approval form’.

All records must be retained by the firm and its Appointed Representatives, where relevant, for a period of not less than three years from the date the individual ceases to be engaged by the firm.

The Compliance Officer will maintain a record of received approval forms.

Declaration

I confirm that I have read and understood the above Personal Account Dealing procedures and acknowledge that these form part of my contractual obligations to the firm. Furthermore, I undertake to seek a determination from the Compliance Officer should there be any situation where it is unclear as to whether the transaction is deemed a personal account transaction or otherwise.

Contract of Services for Self-Employed Mortgage and Protection Adviser

This agreement was made on 28/08/2025

BETWEEN:

(1). Straker Financial Services Ltd a company incorporated in England and Wales under company number 12577421 and whose registered office is at Melville Building, Royal William Yard, Plymouth, PL1 3RP (“the Company”);

and

(2). of , , , GB (“the Adviser”).

Defined Terms

“the Adviser” The person representing Straker Financial Services Ltd (the Company) on:

The Mortgage & Protection Adviser giving advice to customers on Mortgage & the merits of general insurance, mortgage & personal protection to clients within FCA rules and the Company’s operating procedures;
arranging (bringing about) deals in relation to general insurance and/or mortgage protection products and/or personal protection products:

The Adviser operates as a Subcontractor supplying ‘the work’ to Straker Financial services.

“the Company” Straker Financial Services Ltd (SFS)

“FCA” The Financial Conduct Authority

“the Provider” The providing Commission for Mortgage & Protection products through Straker Financial Services Ltd (the Company)

“the Work” Work includes general insurance, mortgage and personal protection required by the customers of the Company and provided to the Adviser by the Company which include:

To identify potential clients requiring ‘the work’
To deliver the ‘the work’
To complete all legal documentation on behalf of the client
To represent Straker financial services Ltd in a professional manner
To comply with the company’s policies & procedures essential to the processing of Mortgages & Protection
To update the company on a weekly basis of the Pipeline for new applications and cases completed
To refer clients to other Straker Financial Services not covered by their own responsibilities
To provide other services as the Company and the Adviser may agree upon from time to time, during the duration of this Contract of Services

Agreement

“the Parties” Meaning both the Company and the Adviser bound by the Contract of Services Agreement

WHEREAS:

The Company has entered into a contract of services agreement dated on or before this Agreement for the performance of works required by the customers of the Company (“the Work”) and the Company wishes to sub-contract certain parts of the Work to the Adviser. The Adviser agrees to provide the services of the Company as a self-employed individual for the duration of this agreement as set out in the Contract of Services. The Adviser operating as a subcontractor to the company will be responsible for all taxes and contributions, own expenses (including but not limited to; income tax & national insurance) in respect of all amounts paid or payable to the Adviser under or in relation to this agreement.

IT IS AGREED AS FOLLOWS:

The Adviser, as an independent self-employed person for all purposes in representing Straker Financial Services Ltd, agrees to furnish all the labour as may reasonably be required to carry out the following Work:

To provide mortgage, general insurance and protection advice, to clients within FCA rules and the Company’s procedures in accordance with the terms and conditions of this Agreement.
The Adviser will attain & maintain all relevant approved qualifications, if relevant and required.
Detailed knowledge of FCA & the Company’s operating procedures is a requirement.

The Adviser agrees to perform the Work in a good professional and accurate manner and to use reasonable care and skill and to comply with any reasonable directions given by the Company regarding the Work. If any specifications are required, they are attached to and form part of this Agreement.
The Adviser warrants, represents and undertakes that it will comply with all relevant statutes, laws, regulations, and codes of practice from time to time in force.

The Work

In reliance upon such skill, knowledge, qualifications and experience from the Adviser, the Company wishes to engage the Adviser to represent the Company in providing Mortgage & Protection Advice to clients.

The Adviser wishes to accept such engagement and shall provide the contract of services to the client on behalf of the Company as described herein subject to, and in accordance with, the terms and conditions of this Agreement.

The Adviser agrees to the following parts of the Work:

Keep up to date with products, technical or legislative changes within the marketplace.
Always comply with the Compliance and Training and Competence Procedures of the Company
Always comply with the requirements of the Company and Markets Act 2000, and the FCA Principles, Rules, and the Conduct Rules.
Identify and contact potential clients. Gather sufficient client information and identify client needs.
Analyse information gathered and to undertake sufficient research to make suitable Mortgage & Protection recommendations.
Complete all supporting documentation in an accurate manner.
Attain and maintain competent status as defined by FCA and the Company. • Maintain performance standards in accordance with those outlined in the Key Performance Indicators section of the Training and Competence procedures.
Via self-assessment and feedback, identify Continuing Professional Development (CPD) needs to maintain and enhance Competent Status and undertake appropriate activity to meet those needs. (A minimum of 15 hours per annum of CPD is required).
Provide the Company, its agents, and its internal and external auditors the same facilities as are to be provided to the auditors of the FCA.
The Adviser is responsible for the quality of the work undertaken, without limitation, is wholly responsible and shall do so competently and with reasonable care and skill.
The Adviser shall be responsible for the rectification of any unsatisfactory work at his/her own expense.

The above is not an exhaustive list and may be amended according to the requirements of the Company.

4.1 Status of the Adviser

The grant/acceptance of this appointment does not create any mutual obligations on the part of the Company or the Adviser to offer/accept any further appointment and no continuing relationship shall hereby be created or implied.

The Adviser’s relation to the Company is that of a self-employed person. The Adviser shall be responsible for all taxes and contributions (including, but not limited to, income tax and national insurance, where applicable) in respect of all amounts paid or payable to the Adviser under or in relation to this Agreement.

The Adviser hereby agrees to indemnify the Company in respect of any claims that may be made by the relevant authorities against the Company in respect of any such taxes and/or contributions, including interest and penalties, relating to the Adviser’s Services provided to the Company under this Agreement.

The Adviser shall be responsible for their expenses and, where applicable, VAT.
The Adviser may not assign, charge or sub-licence or otherwise delegate any of its contract of services with the Company hereunder, or sub-contract or otherwise delegate any of its obligations relating to the Company, without the written consent of the Company, such consent not to be unreasonably withheld.
Nothing in this Agreement shall create or be deemed to constitute or give rise to a partnership, joint venture, agency or any employment relationships between the Parties, or any employment relationship between any Adviser, and the Company, or any other fiduciary relationship, other than the contractual relationship expressly provided for in this Contract of Services Agreement.

5. Remuneration

The Adviser will represent the Company initially as a non-CAS Adviser and will receive 65% of commissions paid to the Company by the Lender and Provider for self-generated leads.

Once the Adviser has received full CAS (Competent Adviser Status), they will receive 75% of commissions paid to the Company on all self-generated leads.

For leads generated by the company or an introducer, 50% will be paid to the Adviser from commissions received by the Company for the successful completion of ‘the work’ with the client.

Once the Adviser has banked mortgage proc fees of £50,000 from the beginning of the year (January), and if they are CAS, they will receive 80% of commissions paid to the Company by the Lender and Provider for self-generated leads from that point on until the end of that year (December). After Which time, the commission amount for self-generated leads will revert back to 75%.

Indemnity payments for insurance policies are made in four installments, over a four year period. This reduces risk to Straker Financial Services and the Adviser alike from cancelled insurance policies (clawbacks).

If the Adviser chooses a provider on our internal “Staggered List” (displayed on our CRM), each yearly commission payout will also be staggered over a set amount of months determined by the Company. The providers on the staggered list may change throughout the year, at which point the Adviser will be notified via the CRM.

Depending on the insurance company, commission paid will have a 2 or 4 year clawback period, unless taken on a non-indemnified basis. If taken on indemnified, an additional 20% will be retained from the first year commission payment by the Company for clawback purposes and will be paid to the Adviser after the 2 or 4 year clawback period has passed.

The Adviser will be liable to pay for any clawbacks on commissions they have been paid, with the first 20% being taken from their pot and the outstanding amount from the Advisers future commissions. If the Adviser does not have enough funds in their pot to cover the 20%, the clawback amount, including the 20%, will be taken entirely from the Advisers commissions. If the Adviser does not have sufficient commissions available, the Adviser agrees to pay the outstanding clawback amount into the company account via bank transfer. This money must be paid within a timescale set by the company.

Separate policies for the same client will be paid to the Adviser as individual policies and therefore each individual policy will adhere to the aforementioned four year commission structure.

Providers may charge the company interest on outstanding clawbacks - this interest charge will be passed on to the Adviser if they cannot pay within the timescale set by the company. If the Adviser has any doubt as to whether they will be in a financial position to pay back a policy clawback, they must request the commissions for that policy as non-indemnified.

Any additional fees accrued, such as solicitor, debt collection and court fees, due to failure to pay back money owed for cancelled insurance policies, will be added to the initial debt and paid back by the Adviser.

The Adviser will receive a 5% override on any additional Advisers brought to the Company by them, the initial Adviser. This 5% override will be for the first three submitted deals only. The initial Adviser will be required to pay back the 5% override, if any of the first three policies are insurance policies and lapse.

The option for Advisers to build and manage their own teams is at the full discretion of the Company.

The Adviser acknowledges that he/she has no right to make any claim against the Company should the client fail to make payments for any reason.

The Adviser is responsible for all charges, disbursements, and expenses he/she incurs in performing his/her duties under this Agreement.

The Adviser may be charged a £50 admin fee, which will be taken off of their commissions, for additional administration work carried out by Straker Financial Services if they (the Adviser) do not adequately update and maintain policy information on the CRM. This will be on a policy by policy basis.

The Adviser shall be liable for, and shall indemnify the Company against, any costs, liability, damages claims or proceedings arising from the Work under this Agreement.
The Adviser shall obtain, pay for and maintain with a reputable insurance company (reasonably acceptable to the Company) during the continuance of this Agreement and for a period of six years after termination of this Agreement, policies of insurance in such amounts and against such risks on a prudent person carrying on the same activities as the Adviser would carry on.
Each party undertakes that it shall not at any time during the Work, and for a period of five years after termination of this Agreement, disclose to any person any confidential information concerning the business, affairs, customers, clients, or suppliers of the other party, except as permitted by clause 9.
Each party may disclose the other party's confidential information to its employees, officers, representatives, sub-contractors, or Advisers who need to know such information for the purposes of carrying out the party's obligations under this Agreement. Each party shall ensure that its employees, officers, representatives, subcontractors, or Advisers to whom it discloses the other party's confidential information comply with this clause 9; and as may be required by law, a court of competent jurisdiction or any governmental or regulatory authority.
Neither party shall use the other party's confidential information for any purpose other than to perform its obligations under the Contract.

11. Force Majeure

No Party to this Agreement shall be liable for any failure or delay in performing their obligation where such failure or delay results from any cause that is beyond the reasonable control of that Party (“Force Majeure”). Such causes include, but are not limited to: industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action or any other event that is beyond the control of the Party in question.

If a Party to this Agreement cannot perform their obligations hereunder because of Force Majeure for a continuous period of three months, the other Party may at its discretion terminate this Agreement by written notice at the end of that period. In the event of such termination, the Parties shall agree upon a fair and reasonable payment for all work completed up to the date of termination. Such payment shall consider any prior contractual commitments entered into in reliance on the performance of this Agreement.

12. Data Protection and Data Processing

12.1 In this agreement:

(a) The Company is the Controller, and the Adviser is the Processor.
(b) The types of Personal Data and categories of Data Subject which will be processes, the nature and purpose of that processing and the duration of that processing are as set out in the Schedule (Data processing).

12.2 In relation to the processing of Personal Data, the Adviser shall:

(a) Only process Personal Data in accordance with the Company’s written instructions from time to time (which may be specific instructions or standing instructions of general application in relation to the Services, whether set out in this agreement or otherwise notified to the Adviser), unless such processing is required by any law (other than contract law) to which the Adviser is subject, in which case the Adviser shall (to the extent permitted by law) inform the Company of that legal requirement before carrying out the processing;
(b) Immediately notify the Company if it considers that the Adviser's instructions are in breach of the GDPR or other EU member state laws; and
(c) Keep a written record of all such processing activities which shall include the information required to be kept under Article 30(2) of the GDPR.

12.3 In relation to the security and confidentiality of the Personal Data, the Adviser shall:

(a) Ensure that it has in place appropriate technical and organisational measures to ensure a level of security for the Personal Data which is appropriate to the risks to individuals that may result from the accidental or unlawful destruction, loss, alteration, unauthorised disclosure of, or access to the Personal Data;
(b) In addition to the confidentiality obligations in Clause 10 (Confidentiality):
- (i) Ensure that only those of the Adviser's Personnel who need to have access to the Personal Data are granted access to such data and only for the purposes of the performance of this agreement and all the Adviser 's Personnel required to access the Personal Data are informed of the confidential nature of the Personal Data, comply with the obligations set out in this clause and are bound by appropriate confidentiality obligations when accessing the Personal Data; and
- (ii) Not publish, disclose, or divulge any of the Personal Data to any third party (including for the avoidance of doubt the Data Subject itself) unless directed to do so in writing by the Company;
(c) Not modify, amend, or alter the contents of the Personal Data unless specifically authorised in writing by the Company.

12.4 If the Adviser becomes aware of a Personal Data breach, it shall notify the Company without undue delay on becoming aware of such a breach.

12.5 The Adviser shall notify the Company within five Business Days upon receiving the following:

(a) A request from a Data Subject to have access to that person's Personal Data; or
(b) A complaint or request relating to the Company’s obligations under the Data Protection Legislation; or
(c) Any other communication relating directly or indirectly to the processing of any Personal Data in connection with this agreement.

12.6 The Adviser shall provide the Company with full cooperation and assistance to enable the Company to comply with its obligations under the Data Protection Legislation in relation to:

(a) The Company’s obligations in relation to responding to Data Subject requests, including (but not limited to) the following:
- (i) Complying with the relevant timescales as set out in the Data Protection Legislation but strictly in accordance with the Company’s instructions;
- (ii) Providing the Company with any Personal Data that it holds in relation to the Data Subject making the complaint or request within the timescales are required by the Company; and
- (iii) Providing the Company with any Personal Data that it holds in relation to the Data Subject making the complaint or request within the timescales are required by the Company; and providing the Company with any other information as so requested by the Company in this regard,
(b) The security of the Personal Data;
(c) Notifying Personal Data breaches to the relevant supervisory authority; (d) Communicating personal data breaches to the Data Subject; and
(e) Impact assessments and related consultations with supervisory authorities or regulators.

12.7 The Adviser shall:

(a) Make available to the Company all information that the Company requests from time to time to enable the Company to verify that the Adviser follows its obligations in this; and
(b) Permit to Company or its external Advisers to inspect and audit the Adviser’s data processing activities and those of its agents, subsidiaries, and Advisers.

12.8 This Clause 12.8 shall only apply in relation to the sub-contracting of Personal Data processing under this agreement:

(a) The Adviser shall not engage or authorise another Adviser to process the Personal Data unless:
- (i) It has obtained the prior written consent of the Company (which may be granted or withheld in the Company sole discretion) before transferring the Personal Data to any Advisers in connection with the provision of the Services; and
- (ii) The Adviser has either entered a direct contract with the Company or a contract with the Adviser which incorporates the provisions equivalent to those in this agreement in relation to confidentiality, data protection and security, and
(b) Where a Adviser is appointed pursuant to Clause 12.8(a), the Adviser shall remain liable for the acts and omissions of that Adviser as if they were the Adviser's own.

12.9 In relation to transfers of Personal Data to areas outside the European Economic Area (EEA):

(a) The Adviser shall not transfer any Personal Data outside the EEA without the Company’s prior written consent; and
(b) If the Company consents to any transfers pursuant to Clause 12.9(a), the Adviser shall ensure that the following conditions are met in relation to such transfers:

(i) The Adviser complies with its obligations under the Data Protection Legislation by ensuring that there is an adequate level of protection to any Personal Data that is transferred;
(ii) That there are appropriate safeguards in place in relation to that transfer;
(iii) That Data Subjects have enforceable rights and effective legal remedies; and
(iv) That the Adviser shall comply with any other reasonable instructions as notified to it by the Company in relation to such transfers.

12.10 The Company acknowledges that the Adviser is reliant on the Company alone for direction as to the extent the Adviser is entitled to use and process the Personal Data. Subject to Clause 12.2(b), the Adviser shall be entitled to relief from liability in circumstances where a Data Subject makes a claim or complaint with regards to the Adviser's actions to the extent that such actions directly result from instructions received from the Company.

12.11 On the expiry or termination of this agreement, the Adviser shall, without prejudice to and in addition to its other obligations under this agreement, notify the Company of the Personal Data that it holds. If requested by the Company (or any replacement Adviser as nominated by the Company), a copy of all Personal Data in a non-proprietary format. Save for those clients that the Adviser has brought with them or sourced personally, the Adviser will need to get their client’s permission to retain their personal data for the Adviser’s future use. The Adviser will promptly after the one month following such expiry or termination, the Adviser shall securely and permanently destroy all copies of Personal Data belonging to the Company’s clients in its possession or control (other than any copy transferred to the Company in accordance with this paragraph) unless the Adviser is required by law to retain any copies of such data, or data belonging to the Adviser due to those clients having been introduced to the Company by the Adviser. For the purposes of this Clause 12.11, the Adviser shall be the Controller in relation to any such retained Personal Data for those clients they have introduced to the Company, and shall process it solely as necessary to comply with its obligations under the GDPR.

12.12 The Adviser shall, always during and after the Term, indemnify the Company and keep the Company indemnified against all losses, damages, costs or expenses and other liabilities (including legal fees) incurred by, awarded against, or agreed to be paid by the Company arising from any breach of the Adviser's obligations under this Clause 12 except and to the extent that such liabilities have resulted directly from the Company's instructions.

13. Intellectual Property

Nothing in this Agreement shall affect the ownership of intellectual property rights existing prior to this Agreement or generated outside the Work which one Party agrees to make available to the other in the course of the Work ('Background'). If one Party makes any of its Background available to the other Party in the course of the Work, the Party receiving such Background shall treat it as confidential information disclosed under Clause 9 above, and shall not disclose it to a third party nor use it for any purposes other than that for which it was made available to that Party. Each Party agrees to make any Background which is relevant to the Work available to the other solely for the purposes of undertaking the Work. The results of, and any intellectual property created, generated, or developed from, the Work ('the Results') shall be owned by the Company. For the avoidance of doubt, the ownership of the Results as described in this Clause 13 shall apply whether the Results have been made by any one of the Company and Adviser or by them both.

14. Termination by the Company

Without prejudice to any rights or remedies which the Company may possess, if the Adviser shall make default in any one or more of the following respects:

(a) Without reasonable cause, the Adviser wholly suspends the Work before completion, or
(b) Without reasonable cause, the Adviser fails to proceed with the Work in the manner provided in clause 2 above, or
(c) The Adviser refuses or neglects after notice in writing from the Company to correct the work and by such refusal the Works are in the Company’s view affected, then in each respect, the Company may issue a notice to the Adviser specifying the default. If the Adviser fails to remedy such defect within seven days after receipt of the notice requiring the Adviser to do so, then the Company may by written notice immediately end this Agreement.

15. Non-Solicitation

Save for those clients that the Adviser has brought with them or sourced personally and has permission from the client, the Adviser undertakes to the Company that it shall not, whether on its own behalf, or on behalf of, or jointly with, any other person at any time during the period of three years from Completion, canvass, solicit or otherwise seek or accept the custom of the Company’s customer under the terms of this agreement or without the prior written consent of the Company, canvass, solicit or otherwise seek or accept the custom of any person who has been a client or customer of the Company that was introduced to the Adviser at any time during the period of twelve months prior to termination or expiry of this agreement.

This clause does not affect the Adviser’s rights to retain as their own, any clients they have introduced to the Company.

16. Transfer of Rights and Obligations

Neither party may transfer their rights and obligations under this Agreement to another organisation.

17. Third Party Rights

This contract is between the Company and the Adviser. No other person shall have any rights to enforce any of its terms.

18. Severability

Each of the paragraphs of this Agreement operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

19. No Waiver

If either party does not insist immediately that the other party do anything they are required to do under this Agreement, or if one party delays in taking steps against the other party in respect of a breach of this Agreement that will not mean that the defaulting party does not have to do those things and it does not prevent the non-defaulting party taking steps against the defaulting party at a later date.

20. Governing Law and Jurisdiction

The law of England and Wales shall govern this Agreement the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim in relation to it.

21. Termination

21.1 Either Party may terminate this Agreement by giving to the other not less than one month’s notice;
21.2 The other Party commits any other breach of any of the provisions of this Agreement and, if the breach is capable of remedy, fails to remedy it within seven Business Days after being given written notice giving full particulars of the breach and requiring it to be remedied; (For the purposes of Clause 21.2, a breach shall be considered capable of remedy if the Party in breach can comply with the provision in question in all respects);
21.3 An encumbrancer takes possession, or where the other Party is a company, a receiver is appointed, of any of the property or assets of that other Party;
21.4 The other Party makes any voluntary arrangement with its creditors or, being a company, becomes subject to an administration order (within the meaning of the Insolvency Act 1986);
21.5 The other Party, being an individual or firm, has a bankruptcy order made against it or, being a company, goes into liquidation (except for the purposes of bona fide amalgamation or reconstruction and in such a manner that the company resulting therefrom effectively agrees to be bound by or assume the obligations imposed on that other Party under this Agreement);
21.6 That other Party ceases, or threatens to cease, to carry on business; or
21.7 Control of that other Party is acquired by any person or connected persons not having control of that other Party on the date of this Agreement. For the purposes of this Clause 21 “control” and “connected persons” shall have the meanings ascribed thereto by Sections 1124 and 1122 respectively of the Corporation Tax Act 2010.

21.8 The rights to terminate this Agreement given by this Clause 21 shall not prejudice any other right or remedy of either Party in respect of the breach concerned (if any) or any other breach.

Contract of Services for Self-Employed Protection Adviser

Defined Terms

“the Adviser” The person representing Straker Financial Services Ltd (the Company) on:

giving advice to customers on the merits of Insurance/Protection to clients within FCA rules and the Company’s operating procedures;
arranging (bringing about) deals in relation to Insurance/Protection products

“the Company” Straker Financial Services Ltd

“FCA” The Financial Conduct Authority

“the Codes” The code of practice for the selling of Private Medical Insurance as issued by the Association of British Insurers, including the specific guide to the selling of Non-Investment and the Financial Conduct Authority’s (FCA) code as applicable to retail and commercial customers.

“the Provider” The Insurance Company providing Commission for Insurance/Protection products through Straker Financial Services Ltd (the Company).

“the Work” Work required by the customers of the Company and provided to the Adviser by the Company

“the Parties” Meaning both the Company and the Adviser bound by the Contract of Services Agreement

WHEREAS:

IT IS AGREED AS FOLLOWS:

To provide insurance / protection advice to clients within FCA rules and the Company’s procedures in accordance with the terms and conditions of this Agreement.
The Adviser will attain & maintain all relevant approved qualifications, if relevant and required.
Detailed knowledge of FCA rules & the Company’s operating procedures is a requirement.

The protection Adviser undertakes to act in accordance with the Codes including any amendments and revisions which may be made to the Codes from time to time.

The Work

In reliance upon such skill, knowledge, qualifications and experience from the Adviser, the Company wishes to engage the Adviser to represent the Company in providing Protection/Insurance Advice to clients.

The Adviser agrees to the following parts of the Work:

Keep up to date with products, technical or legislative changes within the marketplace.
Always comply with the Compliance and Training and Competence Procedures of the Company
Always comply with the requirements of the Company and Markets Act 2000, and the FCA Principles, Rules, and the Conduct Rules.
Identify and contact potential clients. Gather sufficient client information and identify client needs.
Analyse information gathered and undertake sufficient research to make suitable insurance / protection recommendations.
Complete all supporting documentation in an accurate manner.
Attain and maintain competent status as defined by FCA and the Company.
Maintain performance standards in accordance with those outlined in the Key Performance Indicators section of the Training and Competence procedures.
Via self-assessment and feedback, identify Continuing Professional Development (CPD) needs to maintain and enhance Competent Status and undertake appropriate activity to meet those needs. (A minimum of 15 hours per annum of CPD is required).
Provide the Company, its agents, and its internal and external auditors the same facilities as are to be provided to the auditors of the FCA.
The Adviser is responsible for the quality of the work undertaken, without limitation, is wholly responsible and shall do so competently and with reasonable care and skill.
The Adviser shall be responsible for the rectification of any unsatisfactory work at his/her own expense.

The above is not an exhaustive list and may be amended according to the requirements of the Company.

The Adviser warrants, represents and undertakes that it will comply with all relevant statutes, laws, regulations, and codes of practice from time to time in force.

Status of the Adviser

The grant/acceptance of this appointment does not create any mutual obligations on the part of the Company or the Adviser to offer/accept any further appointment and no continuing relationship shall hereby be created or implied.

The Adviser’s relation to the Company is that of a self-employed person. The Adviser shall be responsible for all taxes and contributions (including, but not limited to, income tax and national insurance, where applicable) in respect of all amounts paid or payable to the Adviser under or in relation to this Agreement.

The Adviser hereby agrees to indemnify the Company in respect of any claims that may be made by the relevant authorities against the Company in respect of any such taxes and/or contributions, including interest and penalties, relating to the Adviser’s Services provided to the Company under this Agreement.
- The Adviser shall be responsible for all of his/her expenses and, where applicable, VAT.
- The Adviser may not assign, charge or sub-licence or otherwise delegate any of its contact of services with the Company hereunder, or sub-contract or otherwise delegate any of its obligations relating to the Company, without the written consent of the Company, such consent not to be unreasonably withheld.
- Nothing in this Agreement shall create or be deemed to constitute or give rise to a partnership, joint venture, agency or any employment relationships between the Parties, or any employment relationship between any Adviser, and the Company, or any other fiduciary relationship, other than the contractual relationship expressly provided for in this Contract of Services Agreement.
Remuneration

The Adviser will represent the Company initially as a non-CAS Adviser and will receive 60% of commissions paid to the Company by the Provider for self-generated leads.

Once the Adviser has received full CAS (Competent Adviser Status), they will receive 70% of commissions paid to the Company on all self-generated leads.

For leads generated by the company or an introducer, 50% will be paid to the Adviser from commissions received by the Company for the successful completion of ‘the work’ with the client.

Once the Adviser has banked £100,000 from the beginning of the year (January), and if they are CAS Status, they will receive 75% of commissions paid to the Company by the Provider for self-generated leads from that point on until the end of that year (December). After which time, the commission amount for self-generated leads will revert back to 70%. If the Adviser receives future clawbacks that lowers their banked business to less than £100,000 for the year in question, the amount paid based on the additional 5% higher commission rate will be paid back to the Company from the Adviser. This will be paid back via future commissions or directly by the Adviser to the Company at the sole discretion of the Company.

Indemnity payments for insurance policies are made in four installments, over a four year period. This reduces risk to Straker Financial Services and the Adviser alike from cancelled insurance policies (clawbacks).

If the Adviser chooses a provider on our internal “Staggered List” (displayed on our CRM), each yearly commission payout will also be staggered over a set amount of months determined by the Company. The providers on the staggered list may change throughout the year, at which point the Adviser will be notified via the CRM.

Depending on the insurance company, commission paid will have a 2 or 4 year clawback period, unless taken on a non-indemnified basis. If taken on an indemnified basis, an additional 20% will be retained from the first year commission payment by the Company for clawback purposes and will be paid to the Adviser after the 2 or 4 year clawback period has passed.

The Adviser will be liable to pay for any clawbacks on commissions they have been paid, with the first 20% being taken from their pot and the outstanding amount from the Adviser's future commissions. If the Adviser does not have enough funds in their pot to cover the 20%, the clawback amount, including the 20%, will be taken entirely from the Adviser's commissions. If the Adviser does not have sufficient commissions available, the Adviser agrees to pay the outstanding clawback amount into the company account via bank transfer. This money must be paid within a timescale set by the company.

Separate policies for the same client will be paid to the Adviser as individual policies and therefore each individual policy will adhere to the aforementioned four year commission structure.

Providers may charge the company interest on outstanding clawbacks - this interest charge will be passed on to the Adviser if they cannot pay within the timescale set by the company. If the Adviser has any doubt as to whether they will be in a financial position to pay back a policy clawback, they must request the commissions for that policy as non-indemnified.

Any additional fees accrued, such as solicitor, debt collection and court fees, due to failure to pay back money owed for cancelled insurance policies, will be added to the initial debt and paid back by the Adviser.

The Adviser will receive a 5% override on any additional Advisers brought to the Company by them, the initial Adviser. This 5% override will be for the first three submitted deals only. The initial Adviser will be required to pay back the 5% override, if any of the first three policies are insurance policies and lapse.

The option for Advisers to build and manage their own teams is at the full discretion of the Company.

The Adviser acknowledges that he/she has no right to make any claim against the Company should the client fail to make payments for any reason.

The Adviser is responsible for all charges, disbursements, and expenses he/she incurs in performing his/her duties under this Agreement.

The Adviser may be charged a £50 admin fee, which will be taken off of their commissions, for additional administration work carried out by Straker Financial Services if they (the Adviser) do not adequately update and maintain policy information on the CRM. This will be on a policy by policy basis.

Confidentiality

4.1 Each party undertakes that it shall not at any time during the Work, and for a period of five years after termination of this Agreement, disclose to any person any confidential information concerning the business, affairs, customers, clients, or suppliers of the other party, except as permitted by clause 4.2.

4.2 Each party may disclose the other party's confidential information to its employees, officers, representatives, sub-contractors, or Advisers who need to know such information for the purposes of carrying out the party's obligations under this Agreement. Each party shall ensure that its employees, officers, representatives, subcontractors, or Advisers to whom it discloses the other party's confidential information comply with this clause 4.

4.3 Neither party shall use the other party's confidential information for any purpose other than to perform its obligations under the Contract.
Force Majeure

5.1 No Party to this Agreement shall be liable for any failure or delay in performing their obligation where such failure or delay results from any cause that is beyond the reasonable control of that Party (“Force Majeure”). Such causes include, but are not limited to: industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action or any other event that is beyond the control of the Party in question.

5.2 If a Party to this Agreement cannot perform their obligations hereunder because of Force Majeure for a continuous period of three months, the other Party may at its discretion terminate this Agreement by written notice at the end of that period. In the event of such termination, the Parties shall agree upon a fair and reasonable payment for all work completed up to the date of termination. Such payment shall consider any prior contractual commitments entered into in reliance on the performance of this Agreement.
Data Protection and Data Processing

6.1 In this agreement:
- (a) The Company is the Controller, and the Adviser is the Processor.
- (b) The types of Personal Data and categories of Data Subject which will be processed, the nature and purpose of that processing and the duration of that processing are as set out in the Schedule (Data processing).
6.2 In relation to the processing of Personal Data, the Adviser shall:
- (a) Only process Personal Data in accordance with the Company’s written instructions from time to time (which may be specific instructions or standing instructions of general application in relation to the Services, whether set out in this agreement or otherwise notified to the Adviser), unless such processing is required by any law (other than contract law) to which the Adviser is subject, in which case the Adviser shall (to the extent permitted by law) inform the Company of that legal requirement before carrying out the processing;
- (b) Immediately notify the Company if it considers that the Company's instructions are in breach of the GDPR or other EU member state laws; and
- (c) Keep a written record of all such processing activities which shall include the information required to be kept under Article 30(2) of the GDPR.
6.3 In relation to the security and confidentiality of the Personal Data, the Adviser shall:
- (a) Ensure that it has in place appropriate technical and organisational measures to ensure a level of security for the Personal Data which is appropriate to the risks to individuals that may result from the accidental or unlawful destruction, loss, alteration, unauthorised disclosure of, or access to the Personal Data;
- (b) In addition to the confidentiality obligations in Clause 4 (Confidentiality):
  1. Ensure that only those of the Adviser's Personnel who need to have access to the Personal Data are granted access to such data and only for the purposes of the performance of this agreement and all of the Adviser's Personnel required to access the Personal Data are informed of the confidential nature of the Personal Data, comply with the obligations set out in this clause and are bound by appropriate confidentiality obligations when accessing the Personal Data; and
  2. Not publish, disclose, or divulge any of the Personal Data to any third party (including for the avoidance of doubt the Data Subject itself) unless directed to do so in writing by the Company;
- (c) Not modify, amend, or alter the contents of the Personal Data unless specifically authorised in writing by the Company.
6.4 If the Adviser becomes aware of a Personal Data breach, it shall notify the Company without undue delay on becoming aware of such a breach. The Adviser shall notify the Company within five Business Days upon receiving the following:
- (a) A request from a Data Subject to have access to that person's Personal Data; or
- (b) A complaint or request relating to the Company’s obligations under the Data Protection Legislation; or
- (c) Any other communication relating directly or indirectly to the processing of any Personal Data in connection with this agreement.
6.5 The Adviser shall provide the Company with full cooperation and assistance to enable the Company to comply with its obligations under the Data Protection Legislation in relation to:
- (a) The Company’s obligations in relation to responding to Data Subject requests, including (but not limited to) the following:
  1. Complying with the relevant timescales as set out in the Data Protection Legislation but strictly in accordance with the Company’s instructions;
  2. Providing the Company with any Personal Data that it holds in relation to the Data Subject making the complaint or request within the timescales are required by the Company; and
  3. Providing the Company with any other information as so requested by the Company in this regard,
- (b) The security of the Personal Data;
- (c) Notifying Personal Data breaches to the relevant supervisory authority;
- (d) Communicating personal data breaches to the Data Subject; and
- (e) Impact assessments and related consultations with supervisory authorities or regulators.
6.6 The Adviser shall:
- (a) Make available to the Company all information that the Company requests from time to time to enable the Company to verify that the Adviser follows its obligations in this clause; and
- (b) Permit to Company or its external Advisers to inspect and audit the Adviser’s data processing activities and those of its agents, subsidiaries, and Advisers.
- (c) If applicable, provide proof each quarter that they are keeping up to date with any debt management plans that they have in place and no new CCJ’s have been issued against them. Failure on either point could result in the termination of business relations with the company. This will be at the sole discretion of Straker Financial Services.
6.7 This Clause 10.7 shall only apply in relation to the sub-contracting of Personal Data processing under this agreement. The Adviser shall not engage or authorise another Adviser to process the Personal Data unless:
- (a) It has obtained the prior written consent of the Company (which may be granted or withheld in the Company sole discretion) before transferring the Personal Data to any Advisers in connection with the provision of the Services; and
- (b) The Adviser has either entered a direct contract with the Company or a contract with the Adviser which incorporates the provisions equivalent to those in this agreement in relation to confidentiality, data protection and security.
Where an Adviser is appointed pursuant to Clause 6.7(a), the Adviser shall remain liable for the acts and omissions of that Adviser as if they were the Adviser's own.

6.8 In relation to transfers of Personal Data to areas outside the European Economic Area (EEA):
- (a) The Adviser shall not transfer any Personal Data outside the EEA without the Company’s prior written consent; and
- (b) If the Company consents to any transfers pursuant to Clause 10.8(a), the Adviser shall ensure that the following conditions are met in relation to such transfers:
  1. The Adviser complies with its obligations under the Data Protection Legislation by ensuring that there is an adequate level of protection to any Personal Data that is transferred;
  2. That there are appropriate safeguards in place in relation to that transfer;
  3. That Data Subjects have enforceable rights and effective legal remedies; and
  4. That the Adviser shall comply with any other reasonable instructions as notified to it by the Company in relation to such transfers.
6.9 The Company acknowledges that the Adviser is reliant on the Company alone for direction as to the extent the Adviser is entitled to use and process the Personal Data. Subject to Clause 6.2(b), the Adviser shall be entitled to relief from liability in circumstances where a Data Subject makes a claim or complaint with regards to the Adviser's actions to the extent that such actions directly result from instructions received from the Company.

6.10 On the expiry or termination of this agreement, the Adviser shall, without prejudice to and in addition to its other obligations in under this agreement, notify the Company of the Personal Data that it holds. If requested by the Company (or any replacement Adviser as nominated by the Company), a copy of all Personal Data in a non-proprietary format. Promptly after the one month following such expiry or termination, the Adviser shall securely and permanently destroy all copies of Personal Data belonging to the Company’s clients in its possession or control (other than any copy transferred to the Company in accordance with this paragraph) unless the Adviser is required by law to retain any copies of such data, or data belonging to the Adviser due to those clients having been introduced to the Company by the Adviser. For the purposes of this Clause 6.10, the Adviser shall be the Controller in relation to any such retained Personal Data for those clients they have introduced to the Company, and shall process it solely as necessary to comply with its obligations under the GDPR.

6.11 The Adviser shall, always during and after the Term, indemnify the Company and keep the Company indemnified against all losses, damages, costs or expenses and other liabilities (including legal fees) incurred by, awarded against, or agreed to be paid by the Company arising from any breach of the Adviser's obligations under this Clause 10 except and to the extent that such liabilities have resulted directly from the Company's instructions.
Intellectual Property

Nothing in this Agreement shall affect the ownership of intellectual property rights existing prior to this Agreement or generated outside the Work which one Party agrees to make available to the other in the course of the Work ('Background'). If one Party makes any of its Background available to the other Party in the course of the Work, the Party receiving such Background shall treat it as confidential information disclosed under Clause 6 above, and shall not disclose it to a third party nor use it for any purposes other than that for which it was made available to that Party. Each Party agrees to make any Background which is relevant to the Work available to the other solely for the purposes of undertaking the Work.

The results of, and any intellectual property created, generated, or developed from, the Work ('the Results') shall be owned by the Company. For the avoidance of doubt, the ownership of the Results as described in this Clause 11 shall apply whether the Results have been made by any one of the Company and Adviser or by them both.
Termination by the Company

Without prejudice to any rights or remedies which the Company may possess, if the Adviser shall make default in any one or more of the following respects:
- Without reasonable cause, the Adviser wholly suspends the Work before completion, or
- Without reasonable cause, the Adviser fails to proceed with the Work in the manner provided in clause 2 above, or
- The Adviser refuses or neglects after notice in writing from the Company to correct the work and by such refusal the Works are in the Company’s view affected,
then in each respect, the Company may issue a notice to the Adviser specifying the default. If the Adviser fails to remedy such defect within seven days after receipt of the notice requiring the Adviser to do so, then the Company may by written notice immediately end this Agreement.
Non-Solicitation

The Adviser undertakes to the Company that it shall not, whether on its own behalf, or on behalf of, or jointly with, any other person at any time during the period of three years from Completion, canvass, solicit or otherwise seek or accept the custom of the Company’s customer under the terms of this agreement or without the prior written consent of the Company, canvass, solicit or otherwise seek or accept the custom of any person who has been a client or customer of the Company that was introduced to the Adviser at any time during the period of twelve months prior to termination or expiry of this agreement. This clause does not affect the Adviser’s rights to retain as their own, any clients they have introduced to the Company.
Assignment and General Provisions

Neither party may transfer their rights and obligations under this Agreement to another organisation. This contract is between the Company and the Adviser. No other person shall have any rights to enforce any of its terms.

The law of England and Wales shall govern this Agreement the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim in relation to it.
Termination

Either Party may terminate this Agreement by giving to the other not less than one month’s notice; or if:
1. The other Party commits any other breach of any of the provisions of this Agreement and, if the breach is capable of remedy, fails to remedy it within seven Business Days after being given written notice giving full particulars of the breach and requiring it to be remedied; (For the purposes of this Clause, a breach shall be considered capable of remedy if the Party in breach can comply with the provision in question in all respects);
2. An encumbrancer takes possession, or where the other Party is a company, a receiver is appointed, of any of the property or assets of that other Party;
3. The other Party makes any voluntary arrangement with its creditors or, being a company, becomes subject to an administration order (within the meaning of the Insolvency Act 1986);
4. The other Party, being an individual or firm, has a bankruptcy order made against it or, being a company, goes into liquidation (except for the purposes of bona fide amalgamation or re-construction and in such a manner that the company resulting therefrom effectively agrees to be bound by or assume the obligations imposed on that other Party under this Agreement);
5. That other Party ceases, or threatens to cease, to carry on business; or
6. Control of that other Party is acquired by any person or connected persons not having control of that other Party on the date of this Agreement. For the purposes of this Clause “control” and “connected persons” shall have the meanings ascribed thereto by Sections 1124 and 1122 respectively of the Corporation Tax Act 2010.
The rights to terminate this Agreement given by this Clause shall not prejudice any other right or remedy of either Party in respect of the breach concerned (if any) or any other breach.
